END USER LICENSE AGREEMENT (EULA) SIDEKICK_PS SOFTWARE Last Updated: February 20, 2026 IMPORTANT: PLEASE READ THIS LICENSE AGREEMENT CAREFULLY BEFORE USING THIS SOFTWARE. By installing, copying, or otherwise using SideKick_PS ("Software"), you agree to be bound by the terms of this End User License Agreement ("Agreement"). If you do not agree to these terms, do not install or use the Software. 1. LICENSE GRANT Zoom Photography Ltd ("Licensor") grants you a limited, non-exclusive, non-transferable license to: a) Install and use the Software on computers within your licensed GHL Location b) Make backup copies for archival purposes only 2. LICENSE KEY & ACTIVATION a) A valid license key is required for continued use after the trial period b) License keys are tied to your GoHighLevel Location ID c) You may use the Software on multiple computers within the same Location d) License keys may not be shared between different Locations or businesses 3. TRIAL PERIOD a) You may use the Software free of charge for 14 days ("Trial Period") b) After the Trial Period, a valid license key must be purchased c) All features are available during the Trial Period 4. RESTRICTIONS You may NOT: a) Redistribute, sell, lease, or sublicense the Software b) Reverse engineer, decompile, or disassemble the Software c) Remove or modify any proprietary notices or labels d) Use the Software for any unlawful purpose e) Share your license key with third parties f) Use the Software to develop competing products 5. INTELLECTUAL PROPERTY a) The Software and all copies remain the property of Zoom Photography Ltd b) This Agreement does not transfer any intellectual property rights c) All trademarks, logos, and service marks are property of their respective owners 6. SUBSCRIPTION & PAYMENT a) Licenses are sold on an annual subscription basis b) Subscriptions automatically renew unless cancelled c) Refunds are available within 14 days of purchase if the Software is unused d) Price changes will be notified 30 days before renewal 7. UPDATES & SUPPORT a) Software updates are included with an active subscription b) Email support is provided for licensed users c) Support response times are typically within 48 business hours 8. DATA PRIVACY a) The Software may transmit license validation data to our servers b) No personal client data is transmitted or stored externally c) GHL API credentials are stored locally on your computer only d) We comply with GDPR and applicable data protection laws 9. THIRD-PARTY SERVICES a) The Software integrates with third-party services including GoHighLevel, GoCardless, and LemonSqueezy (collectively "Third-Party Services") b) You acknowledge that any license or agreement for Third-Party Services is between you and the Application Provider of that service c) Zoom Photography Ltd is NOT acting as agent for any Third-Party Service provider d) Zoom Photography Ltd is NOT a party to the license between you and any Third-Party Service provider e) The Application Provider of each Third-Party Service is solely responsible for that service, the content therein, any warranties (to the extent not disclaimed), and any claims relating to that service f) We have no control over Third-Party Services and are not responsible for their contents, availability, or use g) By linking to or integrating with a Third-Party Service, we do not endorse such service h) Third-Party Services may change their APIs, pricing, or terms at any time without notice 10. DISCLAIMER OF WARRANTIES THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. ZOOM PHOTOGRAPHY LTD AND ITS SUPPLIERS AND LICENSORS HEREBY DISCLAIM ALL WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO: - WARRANTIES OF MERCHANTABILITY - FITNESS FOR A PARTICULAR PURPOSE - NON-INFRINGEMENT - ACCURACY OR RELIABILITY OF RESULTS - QUIET ENJOYMENT - TITLE NEITHER ZOOM PHOTOGRAPHY LTD NOR ITS SUPPLIERS AND LICENSORS MAKES ANY WARRANTY THAT THE SOFTWARE WILL BE ERROR FREE OR THAT ACCESS WILL BE CONTINUOUS OR UNINTERRUPTED. YOU UNDERSTAND THAT YOU DOWNLOAD FROM, OR OTHERWISE OBTAIN CONTENT OR SERVICES THROUGH, THE SOFTWARE AT YOUR OWN DISCRETION AND RISK. 11. LIMITATION OF LIABILITY YOU EXPRESSLY UNDERSTAND AND AGREE THAT ZOOM PHOTOGRAPHY LTD SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: a) Damages for loss of profits, goodwill, use, data, or other intangible losses b) The use or inability to use the Software c) The cost of procurement of substitute goods and services d) Unauthorized access to or alteration of your transmissions or data e) Statements or conduct of any third party on the Software f) Any bugs, errors, or malfunctions in the Software g) Any rejection of your data by GoHighLevel, GoCardless, or other Third-Party Services h) Failed payments, chargebacks, disputes, or refunds through GoCardless i) Data synchronization errors between ProSelect, GHL, or GoCardless j) Any amounts exceeding the fees paid by you in the twelve (12) months prior to the cause of action ZOOM PHOTOGRAPHY LTD SHALL HAVE NO LIABILITY FOR ANY FAILURE OR DELAY DUE TO MATTERS BEYOND ITS REASONABLE CONTROL. THE FOREGOING LIMITATIONS APPLY EVEN IF ZOOM PHOTOGRAPHY LTD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE). 12. INDEMNIFICATION You agree to indemnify and hold harmless Zoom Photography Ltd, its contractors, licensors, and their respective directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debts, and expenses (including but not limited to legal fees) arising from: a) Your use of and access to the Software b) Your violation of any term of this Agreement c) Your violation of any third-party right, including without limitation any copyright, intellectual property, or privacy right d) Any claim arising from incorrect invoices, payments, or client data created using the Software e) Any disputes with your customers regarding payments processed through GoCardless f) Your failure to comply with GoCardless, GoHighLevel, or other Third-Party Service terms of service This defense and indemnification obligation will survive termination of this Agreement. 13. TERMINATION a) This license is effective until terminated b) Your rights under this license will terminate automatically if you fail to comply with any term c) Upon termination, you must destroy all copies of the Software d) Sections 5, 9, 10, 11, 12, and 14 survive termination 14. GOVERNING LAW This Agreement shall be governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. 15. ENTIRE AGREEMENT This Agreement constitutes the entire agreement between you and Zoom Photography Ltd regarding the Software and supersedes all prior agreements and understandings. 16.
